Terms of Service

These Terms of Service (“Terms”) set out the terms of use of the Ice Open Network website at ice.io, the ION network, the ION apps and the products ION VPN, ION Mail, ION Browser, ION Vault, ION Proxies and ION Agents (together, the “Service”), all operated by Ice Open Network (“us”, “we”, or “our”).

By browsing the website, installing or using any ION app, creating an account, buying a subscription, sending a payment to the ION network or running an ION node, you acknowledge that you have read these Terms and that you agree to be bound by them and to follow them at all times.

Please read these Terms carefully before using the Service. By using or otherwise accessing the Service, or clicking to accept or agree to these Terms where that option is made available, you accept and agree to these Terms, consent to the collection, use, disclosure and other handling of information as described in our Privacy Policy, and agree to and accept any additional terms, rules and conditions of participation issued by Ice Open Network from time to time. If you do not agree to these Terms, you may not access or use the Service.

1. Modification of Terms of Service

Ice Open Network reserves the right, at its sole discretion, to modify or replace these Terms at any time. The most current version of these Terms will be posted on our site. You are responsible for reviewing and becoming familiar with any such modifications. Your use of the Service after any modification to the Terms constitutes your acceptance of the Terms as modified.

2. Eligibility

You hereby represent and warrant that you are fully able and competent to enter into the terms, conditions, obligations, representations, statements and warranties set forth in these Terms, and that you will comply with and abide by these Terms. You may use the Service for your personal use or, for ION Proxies and ION Agents, on behalf of a business that you are authorised to bind.

Ice Open Network is a global platform. By accessing the Service, you represent and warrant that you are of the legal age of majority in your jurisdiction, and that you are legally permitted to use the Service in your jurisdiction, including making or receiving payments in digital assets where you choose to. You are responsible for ensuring compliance with the laws of your jurisdiction, and you acknowledge that Ice Open Network is not responsible for your compliance with such laws.

3. The Service

The Service includes:

  • ION VPN: a VPN that routes your traffic through residential internet connections;
  • ION Mail: encrypted email on an ION address;
  • ION Browser: a Chrome-compatible browser that blocks trackers and changes its fingerprint every session;
  • ION Vault: an encrypted password manager;
  • ION Proxies: rotating residential proxies, billed by usage;
  • ION Agents: access to the ION network that software agents pay for per request, without an account.

Traffic on the ION network is carried by node operators who have chosen to share their internet connection. We may add, change or remove features, and some features may be offered as early access before they are generally available.

4. Accounts and Access to Services

Some products require an account. You are responsible for keeping your login details and devices secure, and for all activity under your account. ION Agents does not use accounts: whoever controls the wallet that pays for a request is responsible for that request.

The encryption keys for ION Mail and ION Vault are created on your device, and we never receive your ION Vault master password. If you lose your master password, we cannot recover your vault.

We cannot guarantee that the Service will be uninterrupted and error-free. We cannot be liable if we are unable to provide the Service for any reason beyond our control. Ice Open Network disclaims liability for any coding or system bugs, as well as for any full or partial disruption of service delivery, which is provided on a “best efforts” approach.

Your access to the Service may be restricted from time to time to allow for repairs, maintenance or the introduction of new facilities or services. If this happens, we will attempt to restore the Service as soon as reasonably possible.

5. Subscriptions, Payments and Refunds

Prices are shown on our website at the time of purchase and may not include taxes, which you are responsible for where they apply.

Subscriptions are billed monthly in advance and renew automatically until you cancel. You can cancel at any time, and your subscription stays active until the end of the period you have already paid for. Where a plan includes a 30-day refund, you can ask for a full refund within 30 days of your first payment for that plan by emailing hi@ice.io.

ION Proxies is billed by the amount of traffic you use. Any free trial traffic is offered once per customer and has no cash value.

ION Agents requests are paid for individually with x402 payments in USDC. These payments are settled on a public blockchain and cannot be reversed by us. A request that fails at the ION gateway is not charged, or its payment is refunded to the wallet that paid it. You are responsible for the budgets and spending limits you set for your agents.

5.1. Founding pricing

If you joined the waitlist before launch, you are entitled to founding pricing: 50% off the listed price of your plan for twelve months from the date you joined the waitlist. Founding pricing is personal to the person who joined the waitlist and cannot be transferred or exchanged for cash.

6. Acceptable Use

The ION network carries traffic through other people’s homes, so misuse of the Service harms real people. You agree not to use the Service to:

  • break any law, or infringe anyone’s rights, including intellectual property and privacy rights;
  • commit or facilitate fraud, including payment fraud, account takeover, credential stuffing or phishing, or provide false, inaccurate or misleading information in order to unlawfully obtain the property of another;
  • send spam or other unsolicited bulk messages;
  • attack, probe or disrupt any system or network, including through denial-of-service attacks, unauthorised vulnerability scanning or distributing malware;
  • access content, accounts or systems you are not authorised to access;
  • create, store or distribute child sexual abuse material, or any content that exploits or endangers children;
  • harass, threaten or stalk anyone, or collect personal data about people without a lawful basis;
  • attempt to identify, locate or interfere with node operators or other users;
  • resell or share access to the Service, unless we have agreed to it in writing;
  • engage in any activity that transmits, exchanges or is otherwise supported by the direct or indirect proceeds of criminal, terrorist or fraudulent activity.

We may investigate suspected violations and suspend or terminate access as described in section 10. We may also restrict destinations or traffic patterns that are commonly associated with abuse of the network.

7. Node Operators

Running an ION node is optional. If you run one, you agree that:

  • you are authorised to share the internet connection you install the node on, including under the terms of your internet service provider;
  • you choose your own bandwidth cap and can stop running the node at any time;
  • you are paid per gigabyte relayed, at the rates shown in the node app, and those rates may change;
  • payouts are made in digital assets to the wallet address you provide, and you are responsible for that wallet and for any taxes on your earnings;
  • you will not inspect, alter, block or record the traffic your node relays;
  • we may pause or remove a node that is unreliable, compromised or used in breach of these Terms.

Traffic relayed through your node is sent by other users of the Service, who are bound by the acceptable use rules in section 6.

8. Limitation of Liability

We provide the Service without any guarantees or warranties. Whilst we try to ensure that the content of our website and apps is correct, we are not responsible if it is not correct. We do not guarantee or represent that any information, content, advertisements or any other website or app which you may access through the Service is accurate or reliable, or that it meets your requirements.

We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and any term as to the provision of services to a standard of reasonable care and skill or as to non-infringement of any intellectual property right.

We do not accept responsibility for any defects which may exist, or for any costs, loss of profits, loss of data or consequences arising from your use of, or inability to access, the Service.

We do not accept any responsibility or liability for enabling you to link to any other website or app, or for the contents of any other website or app, whether one from which you may have been linked or to which you may link from the Service, or for any consequence of your acting upon the contents of such website or app.

We do not accept any liability for your dealings or contracts via the Service with other users of the Service or any other third party.

We do not accept any liability (whether in contract, tort or otherwise) for any acts or omissions resulting from your decision formed on the basis of your use of the Service.

Events Beyond Your or Our Control

Neither you nor we shall be liable to the other for any delay or failure to comply with our respective obligations under these Terms if the delay or failure arises from any cause which is beyond our reasonable control, including (without limitation) any act of God, or of Government or Regulatory Authority or other internet service providers, war, terrorism, or non-availability or malfunctioning of a telecommunications or broadcast or other network system or service.

Ice Open Network assumes no responsibility, and shall not be liable for any damages to, or viruses that may infect, your computer, telecommunication equipment, or other property caused by or arising from your access to, use of, or browsing of the Service, or your downloading of any materials from the Service.

You must compensate us for any damage which we suffer because of something you have done, or in the event of your breach of these Terms.

The Service may provide, or third parties may provide, links to other websites, apps or resources. Because we have no control over such websites, apps and resources, you acknowledge and agree that we are not responsible for their availability, and do not endorse and are not responsible or liable for any content, advertising, products, or other materials on or available from them.

We will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such website, app or resource.

10. Suspension or termination of Our Services

We may suspend, restrict, reduce or terminate the Service to you immediately without any compensation if you breach any of these Terms.

You can stop using the Service at any time, and you can ask us to close your account by emailing hi@ice.io.

11. Software and Wallet Security

You acknowledge that software, including digital-asset wallets, smart contracts and payment protocols such as x402, is subject to defects, and that you are solely responsible for evaluating the reliability of any third-party wallets, software or content that you use with the Service.

You also expressly acknowledge and represent that third-party software may be written with malice or negligence, that Ice Open Network cannot be held liable for your interaction with such software, and that such software may cause loss of funds or data. This warning and others provided by Ice Open Network do not constitute a continuing obligation to advise you of all potential risks of using the Service or third-party software.

12. Payments in Digital Assets

Some payments on the Service, including ION Agents requests and node operator payouts, are made in digital assets such as USDC. By accepting these Terms, you understand that digital assets, including stablecoins, carry risks, including loss of their peg, technological and security risks, and changes in network transaction fees, which are variable and can increase at any time. Transactions recorded on a blockchain are final and cannot be reversed by us.

You acknowledge these risks and represent that Ice Open Network cannot be held liable for such fluctuations, increased costs, or losses arising from the digital-asset networks themselves.

13. Proprietary Rights

You acknowledge and agree that the Service, including our website, apps, network architecture, their design, code, all software products contained in them, and graphics, are subject to intellectual property rights that are owned by Ice Open Network and its Licensors and are protected by applicable intellectual property and other laws. Unless you are expressly authorized by Ice Open Network, you agree not to copy, modify, rent, lease, loan, sell, distribute, perform, display or create derivative works based on the Service, in whole or in part.

Ice Open Network’s trademarks, including ION and the Ice Open Network design (the “Trademarks”), are trademarks of Ice Open Network and its parent company. You may not use the Trademarks without Ice Open Network’s prior written permission.

14. Risk of Regulatory Actions

You acknowledge and understand that Ice Open Network and the Service, including VPN, proxy and digital-asset payment services, may be affected by one or more regulatory actions, which may prevent or limit Ice Open Network’s ability to continue to offer the Service, or which may prevent or limit your ability to access or use the Service in your jurisdiction.

15. Statute of Limitations

You agree that any claim or cause of action arising out of or related to the use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or another period as provided under statute or law, or be forever barred.

16. Governing Law

This Agreement is governed by British Virgin Islands law, without regard to conflicts of law principles. The exclusive jurisdiction and venue for disputes under or relating to the Agreement are the District Court of the Virgin Islands, BVI. You consent to jurisdiction and venue in such courts.

These Terms are written in English. If translated into other languages, only the English version will be legally considered.
